Terms of Service

These Terms of Service ("Terms") govern your use of the Phaseo website, data directory and unified API gateway (collectively, the "Service").

The Service is operated by Daniel Butler under the name Phaseo (“Phaseo”, “we”, “us” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Service overview

Phaseo provides:

  • a public directory of AI models, providers, benchmarks, pricing and other metadata; and
  • an optional API gateway that lets you send requests to certain third-party AI providers through a unified interface.

We may add, change or remove models, providers, endpoints or other features at any time. Availability of specific models or providers depends on those third parties and is not guaranteed.

Where reasonably possible, we will give advance notice of material changes to the Service, including the removal of models or providers from the directory or gateway. However, we may sometimes need to make immediate changes (for example, for security, legal or provider reasons), and we cannot guarantee uninterrupted availability.

2. Eligibility and accounts

You must be at least 18 years old to use the Service.

If you use the Service on behalf of a company or organisation, you confirm that you are authorised to bind that entity to these Terms.

We store and use this information as described in our Privacy Policy.

You are responsible for:

  • keeping your account information accurate and up to date;
  • keeping your password, API keys and other credentials confidential; and
  • all activity under your account, including Gateway usage through your keys.

If you believe your account or keys have been compromised, notify us promptly at support@phaseo.app. You should also rotate any affected keys in your own systems immediately. We are not responsible for losses caused by your failure to keep your credentials secure.

3. Fees, credits and payment

3.1 Credits and wallet

Some parts of the Service, such as routing requests through Phaseo Gateway, may require payment through a prepaid, deposit-based wallet or credit balance (“Credits”). We show applicable prices in advance, and currently state them in US dollars (USD).

When you purchase Credits, you buy a balance that can be used to pay for eligible use of the Service. You are responsible for all usage that consumes Credits from your account.

3.2 Payment processing (Stripe)

Third-party payment providers such as Stripe process all payments for Credits. By providing a payment method, you authorise us and our payment processors to charge the amounts shown at checkout.

We do not store your full card details on our servers. Stripe handles the storage and processing of card details under its security standards and terms.

3.3 Auto top-up

You can enable automatic wallet top-ups (“Auto Top-Up”). If you do, you:

  • authorise us and our payment processor to charge your saved payment method automatically for an amount in USD that you specify whenever your balance falls below a threshold you set; and
  • remain responsible for charges until you turn off Auto Top-Up in your account settings.

We do not store full card details on our servers, even when Auto Top-Up is enabled.

For security, we may require two-factor authentication before enabling Auto Top-Up. If we make an option available to continue without two-factor authentication, you must complete a separate acknowledgment and confirmation step. By doing so, you acknowledge the increased risk of unauthorized charges and that any refund or charge dispute will be assessed under these Terms and applicable law. Nothing in this section limits any mandatory consumer rights.

3.4 Refunds and expiry

To the extent the law allows:

  • Credits that have been used are non-refundable;
  • we may choose to set an expiry period for unused Credits, such as 12 months from purchase. If we introduce one, we will tell you in advance; and
  • if you contact us within 24 hours of purchasing Credits, we will normally refund all unused Credits, provided we can verify the transaction and your usage.

To request a refund of unused Credits within the 24-hour period, email support@phaseo.app. This voluntary policy does not affect any mandatory consumer rights you may have under applicable law.

3.5 Pricing changes and billing errors

We may change our prices from time to time. If a material change affects you, we will give reasonable notice, for example by email or an in-product notification. Continuing to use paid features after the change takes effect means you accept the new prices.

If we find a billing error, such as an incorrect rate or token count, we may correct it by adjusting your Credits balance. Contact us as soon as possible if you believe you were charged incorrectly. If we confirm an error in your favour, we will credit or refund the overcharged amount.

4. Inputs, outputs and your content

When you use the Service, you may submit text, prompts, data or other material (“Inputs”) and receive model-generated responses (“Outputs”). Together, Inputs and Outputs are called “User Content”.

You retain ownership of your User Content, subject to:

  • any licences you grant us under these Terms; and
  • any terms imposed by the underlying third-party model providers, such as OpenAI, Anthropic, Google or SpaceXAI.

4.1 How we handle prompts and outputs

We route your Inputs to third-party providers through Gateway and return Outputs to you. We exclude raw Inputs and full Outputs from our primary request database and analytics, subject to limited storage exceptions: eligible non-streaming Outputs may be cached for five minutes by default and up to 24 hours when configured; private I/O logging may retain Inputs and Outputs for 90–365 days when enabled; and data contributions you opt into may be retained for up to 30 days.

We store high-level telemetry and billing metadata to support analytics and keep the Service running. This telemetry may include:

  • timestamps, model identifiers and provider identifiers;
  • request metrics such as token counts, latency, throughput and error codes; and
  • aggregated or anonymised usage statistics for performance and product improvement.

We use this telemetry to operate, maintain and improve the Service and provide usage insights. We do not train our own models on your prompts or Outputs. If you opt into data contribution, a configured sample may be sent to a third-party model for classification as described in the Privacy Policy.

4.2 Third-party provider terms

When you use Gateway to call a model, the relevant third-party provider processes your request. By using those models through the Service, you also agree to follow the applicable terms, policies and acceptable-use rules of each provider you access.

You are responsible for reviewing and following those third-party terms. We are not responsible for how those providers handle your data or for changes they make to their services or prices.

4.3 Your responsibilities for User Content

You are responsible for your Inputs and your use of Outputs. You confirm that:

  • you have all rights, permissions and consents needed to submit the Inputs and use the Outputs; and
  • your Inputs and use of the Service will not infringe intellectual property, privacy or other rights, or cause us to breach any law or third-party terms.

We do not generally monitor User Content. However, we may use automated tools, including matching against hashes of known child sexual abuse material, to detect content that breaches these Terms or the law, and we may remove it or restrict access to it.

We have zero tolerance for child sexual abuse material. If we become aware of apparent child sexual abuse material, we will remove it, suspend the accounts involved without notice or refund, preserve related information we hold as the law requires, and report it to the relevant authorities, which may include the National Center for Missing & Exploited Children (NCMEC), the Internet Watch Foundation and the National Crime Agency. These obligations apply despite any other commitment in these Terms, including our content handling, I/O logging and zero data retention settings.

5. Prohibited use

You must not:

  • upload, generate, request, store or distribute child sexual abuse material, or any content that sexualises minors, or use the Service to build or operate tools designed to produce such material;
  • use the Service unlawfully or in breach of applicable law, regulation or third-party provider terms;
  • use the Service to create or distribute harmful, abusive, discriminatory, fraudulent or otherwise inappropriate content;
  • interfere with or disrupt the Service, including by introducing malware, overloading our infrastructure or trying to bypass rate limits or security controls;
  • access or scrape the Service with automated tools, such as bots, scripts or crawlers, without our prior written permission, except where documented APIs expressly allow it;
  • reverse engineer, decompile or otherwise try to derive the Service's source code, except where the law prohibits that restriction;
  • use another user's account or share your credentials with anyone else; or
  • try to circumvent these Terms or help anyone else do so.

6. Suspension and termination

You may stop using the Service at any time. To close your account, contact us at support@phaseo.app.

We may suspend or end your access to all or part of the Service if:

  • you materially or repeatedly breach these Terms;
  • the law or a third-party provider requires us to do so; or
  • we decide to discontinue all or part of the Service for technical, business or legal reasons.

Where reasonable, we will give you advance notice of suspension or termination. If we permanently discontinue the Service, we will make reasonable efforts to let you export important data before it shuts down.

To the fullest extent permitted by law, we are not required to refund fees or unused Credits if we suspend or end your access because you breached these Terms.

7. Privacy

For information about how we collect, use and share personal data, see our Privacy Policy. The Privacy Policy forms part of these Terms.

8. Changes to the Service and these Terms

We are continually improving Phaseo and may change, add or remove features from time to time.

We may also update these Terms occasionally. If we make material changes, we will try to give you reasonable notice, for example by email, a site banner or in-app message. If you continue using the Service after the updated Terms take effect, we will treat that as your acceptance of the changes.

9. Intellectual property and open-source components

The Service, including its design, content, documentation and software, belongs to us or our licensors and is protected by intellectual property laws.

We also use and publish open-source software. Use of our open-source repositories is governed by the licences included in those repositories, such as MIT or Apache licences, not these Terms. If an open-source licence conflicts with these Terms, the open-source licence takes precedence for that component.

Nothing in these Terms gives you the right to use our trade names, logos or trademarks without our prior written permission.

10. Feedback

If you provide feedback, ideas or suggestions about the Service (“Feedback”), you agree that we may use them without restriction or obligation to you. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, copy, modify and exploit the Feedback for any purpose connected with our products and services.

11. Indemnity (for business users)

If you use the Service on behalf of a business, you agree to indemnify and hold harmless Daniel Butler (trading as Phaseo) against claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from or relating to:

  • your use of the Service;
  • your User Content; or
  • your breach of these Terms or applicable law.

If you are a consumer, this clause applies only to the extent permitted by applicable law.

12. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we make no express or implied promises or warranties about:

  • the accuracy or completeness of any model Outputs;
  • the availability, reliability or performance of the Service or any third-party provider; or
  • whether the Service will be free from errors, bugs, vulnerabilities or interruptions.

AI-generated content may be inaccurate, incomplete or misleading. Before relying on Outputs or other information shown through the Service, you are responsible for assessing it independently.

We maintain a comprehensive database of models, providers, benchmarks and prices, and aim to keep it reasonably accurate and current. However, the AI ecosystem changes quickly, so we cannot guarantee that every entry, price or benchmark is correct, current or complete. Do not rely only on the Site for critical decisions, such as procurement or compliance; check primary sources yourself.

Nothing in these Terms excludes or limits warranties or rights that cannot be excluded or limited under applicable law, including certain consumer rights.

13. Limitation of liability

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the fullest extent permitted by law:

  • we are not liable for loss of profits, business, data or goodwill, or any indirect or consequential loss arising from or connected with your use of or inability to use the Service. This includes Service failures, database errors, or your failure to protect your keys, passwords or other credentials; and
  • our total combined liability for all claims relating to the Service or these Terms is limited to the greater of:
    • the total amount you paid us for the Service in the 12 months before the event giving rise to the claim; or
    • £100.

For a specific pricing or billing issue, such as an incorrect rate applied by our systems, your main remedy is an appropriate correction, credit or refund of the affected amount, as described in Section 3.5.

14. Governing law and jurisdiction

These Terms and any dispute or claim relating to them or the Service are governed by the laws of England and Wales.

If you are a business user, you and we agree that the courts of England and Wales have exclusive jurisdiction.

If you are a consumer, you may also be entitled to bring proceedings in your country of residence under applicable consumer laws. These Terms do not limit any mandatory rights you have under those laws.

15. General

If any part of these Terms is found to be invalid or unenforceable, the rest remains in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations to another organisation as part of a business reorganisation or sale.

If we do not enforce a right or provision of these Terms, that does not mean we waive it.

When your access to the Service ends, Sections 2, 3, 4, 5 and 8–15 continue to apply.
